This EULA is part of a three-document agreement framework. All three documents are legally binding upon your use of PathCam software and are incorporated by reference into one another. Please review all three before downloading or installing.

National Intel LLC — Terms of Service

National Intel LLC is the software developer and underlying IP owner for PathCam. Their Terms govern IP ownership, data handling, technology licensing, the Master Services Agreement, and all software development arrangements. These terms are incorporated by reference into this EULA and are binding upon all users of PathCam software. Additional incorporated references include National Intel’s signing terms, Software IP policy, and the Master Services & IP Ownership Agreement (MSIOA).



1

Introduction

1.1 · Purpose & Scope

This End User License Agreement (“EULA”) sets forth the terms under which you (“End User”) may install, access, and use PathCam software (the “Software”). Camtronics LLC (“The Provider” / “Distributor”) acts as the public-facing entity and primary distributor. The development and underlying technology of the Software is furnished by National Intel LLC (“Software Provider” / “Developer”). By installing or using the Software, you agree to all terms of this EULA and all incorporated agreements.

1.2 · Applicability & Acceptance

Acceptance is indicated by: (i) selecting “I agree” during installation, (ii) installing or using the Software, or (iii) retaining the Software after an opportunity to review this EULA. If you do not agree, you must immediately cease use and remove all copies.

1.3 · Relationship to Other Agreements

Certain intellectual property and licensing details are governed by a separate Master Services and IP Ownership Agreement between The Provider, the Software Provider, and designated affiliates. That agreement does not modify End User obligations under this EULA. This EULA is also governed alongside the PathCam Terms of Service and the National Intel LLC Terms of Service, both of which are incorporated by reference.

1.4 · No Warranty of Ownership to End User

Distribution of the Software does not confer any ownership stake, right, or interest in the Software beyond the limited license specified herein. The Software remains the intellectual property of its rightful owners or licensors as defined herein and in applicable private agreements.

1.5 · Definitions

“Software” — PathCam imaging application and all associated files, updates, and documentation. “The Provider” / “Distributor” — Camtronics LLC, PathCam.com. “Software Provider” / “Developer” — National Intel LLC, nationalintel.com. “End User” / “You” — the individual or entity installing or using the Software. “License Key” — activation key, product key, or license file required to activate the Software.

License Grant & Restrictions

2.1 · Grant of License

Subject to compliance with this EULA, The Provider grants you a limited, non-exclusive, non-transferable, and revocable license to install and use PathCam for your internal, lawful purposes. This license does not imply or convey any ownership interest in the Software.

2.2 · Permitted Installations

(a) Single-Device. You may install one copy on a single device under your direct control.

(b) Network Storage. You may install one copy on a network storage device, but each device that concurrently accesses the Software must be covered by a separate license or applicable multi-seat license.

2.3 · Restrictions on Use

You shall not: (a) copy, modify, decompile, reverse engineer, disassemble, or otherwise seek to derive source code of the Software; (b) rent, lease, sublicense, lend, or provide commercial hosting of the Software without prior written authorization; (c) circumvent technological measures controlling access to the Software; or (d) use the Software in any manner that violates applicable laws or infringes third-party rights.

Title to and ownership of the Software — including all intellectual property rights — remain with The Provider and/or the Software Provider. Nothing in this EULA transfers ownership to you or any third party.

2.4 · Upgrades, Transfer & Assignment

Updates. Updates are provided “as is” and governed by this EULA unless accompanied by revised terms. Mandatory updates may be required for continued functionality. Transfer. Internal device transfers are permitted if the Software is fully removed from the prior device. Third-party transfers require removal of all copies, transfer of all materials, and the third party’s written agreement to this EULA.

User Obligations

3.1 · Compliance with Laws

You agree to use the Software strictly in accordance with all applicable laws, regulations, and professional guidelines — including data protection statutes, health privacy regulations, and any industry-specific rules. You are solely responsible for ensuring your usage does not violate any local, regional, or international legal requirements.

3.2 · Non-Diagnostic Use & Accountability

The Software is not intended nor certified for diagnostic purposes. Analytical outputs should not be construed as medical or scientific diagnoses. You agree to rely on your own professional judgment or consult qualified experts when interpreting data or images. You bear sole accountability for all interpretations, actions, and decisions made based on the Software’s outputs.

3.3 · Responsible Operation & Security

If operating in a professional environment (healthcare, laboratory, academic institution), you agree to use the Software per established professional standards. You must implement appropriate security protocols to safeguard the Software and any data it processes. Any unauthorized access, data breaches, or compromises arising from your operation of the Software are your responsibility. You agree to indemnify and hold harmless both the Software Provider and the Distributor from any claims, liabilities, or damages resulting from your misuse or unlawful use.

Beta Software Terms

4.1 · Applicability

If you are using a version designated “Beta,” “Early Access,” or otherwise not generally released, the following additional terms apply. Beta versions may contain errors, bugs, or issues not present in full releases.

No Performance Guarantees. Beta Software may not function at expected stability levels. You accept all risks, including data loss, system malfunctions, and compatibility conflicts. Beta versions are not intended or certified for diagnostic or clinical use.

Feedback Ownership. By participating in a Beta program, you agree to provide reasonable feedback. Any feedback you provide is deemed the exclusive property of the Software Provider, who may incorporate it without further obligation to you.

Transition. The Software Provider reserves the right — but is not obligated — to provide an upgrade path from Beta to a full release version. Any transition is subject to EULA terms in effect at that time.

Intellectual Property

5.1 · Ownership of Software & Derivatives

All right, title, and interest in and to the Software — including source code, object code, algorithms, designs, and documentation — are owned or licensed by National Intel LLC and, to an extent designated in private agreements, by Camtronics LLC. Nothing in this EULA transfers any ownership interest to you or any third party. You may not create, develop, or distribute derivative works without the express prior written consent of both the Software Provider and the Distributor. For full IP ownership terms, refer to the National Intel Software IP Policy and the Master Services & IP Ownership Agreement.

5.2 · Trademark & Branding

The name “PathCam” and all associated logos and trademarks are protected intellectual property. You agree not to remove, alter, or obscure any copyright notices, trademark legends, or proprietary markings. You shall not use, register, or adopt any designation identical or confusingly similar to the names, marks, or logos of the Software Provider, Distributor, or their affiliates without express written permission.

5.3 · Prohibited IP Actions

Except as expressly allowed by law: (a) you shall not reverse engineer, decompile, disassemble, or otherwise seek to derive or modify the Software’s underlying ideas, structure, or algorithms; (b) you shall not copy or reproduce the Software beyond the scope of the license granted in Section 2; (c) you shall not use the Software to develop or enhance any competing product or service — any such use is a material breach of this EULA.

5.4 · User Content & Data

To the extent you upload or input images, datasets, or other content, you represent you have all necessary rights and consents. Copyright or ownership you hold over such content remains with you. However, you agree that neither the Distributor nor the Software Provider shall be held liable for any infringement claims arising from your unauthorized use or upload of third-party content.

Limitation of Liability

THE FOLLOWING LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
6.1 · General Disclaimer

Under no circumstances shall Camtronics LLC, National Intel LLC, or any of their respective officers, directors, employees, affiliates, agents, or licensors be liable for any direct, indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or use — arising out of or in connection with: (a) the use or inability to use the Software; (b) reliance on the Software’s outputs; (c) procurement of substitute goods and services; or (d) any unauthorized access to or alteration of your data.

6.2 · No Liability for Diagnostic Misuse

The Software is not designed or licensed for clinical or diagnostic use. Any use for clinical, medical, or diagnostic purposes is strictly at your own risk. Neither the Distributor nor the Software Provider bears responsibility for claims, losses, or damages arising from such misuse.

6.3 · Aggregate Liability Cap

The aggregate liability of either the Distributor or the Software Provider for all claims arising out of or relating to this EULA shall not exceed the total amount actually paid by you (if any) for the license to use the Software. This limitation applies regardless of the form or theory of action — whether in contract, tort, strict liability, or otherwise.

6.4 · Allocation of Risk

The limitations of liability set forth in this Section are an essential part of the basis of the bargain between you, the Distributor, and the Software Provider. They reflect a reasonable and fair allocation of risk and will survive and apply even if any remedy specified fails of its essential purpose. Some jurisdictions do not permit exclusion or limitation of certain warranties — in such cases, liability is limited to the greatest extent permitted by law.

Indemnification

7.1 · Scope

You agree to indemnify, defend, and hold harmless Camtronics LLC, National Intel LLC, and each of their respective officers, directors, employees, affiliates, agents, successors, and assigns (collectively, “Indemnified Parties”) from and against any and all losses, liabilities, claims, demands, suits, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

  • Your breach of this EULA or any unauthorized use or misuse of the Software;
  • Your violation of any third-party rights, including intellectual property or privacy rights;
  • Your reliance on the Software for any purpose beyond its intended, non-diagnostic scope;
  • Any data, content, or material you upload or transmit that infringes or violates the rights of any person.

Procedure: Indemnified Parties shall provide reasonable notice of claims. You shall control the defense and settlement of indemnifiable claims, but may not settle in any manner that imposes liability on the Indemnified Parties without their prior written consent.

Warranty Disclaimers

THE PATHCAM SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND — EXPRESS OR IMPLIED — INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR RELIABILITY.

YOU ACKNOWLEDGE THAT THE SOFTWARE IS NOT INTENDED, CERTIFIED, OR APPROVED FOR CLINICAL, DIAGNOSTIC, OR MEDICAL USE. ANY OUTPUT SHOULD NOT BE RELIED UPON FOR CLINICAL DECISION-MAKING, PATIENT CARE, OR OTHER LIFE-CRITICAL PURPOSES.

NEITHER THE DISTRIBUTOR NOR THE SOFTWARE PROVIDER WARRANTS THAT THE SOFTWARE WILL BE ACCURATE, COMPLETE, TIMELY, ERROR-FREE, SECURE, OR IN COMPLIANCE WITH ANY INDUSTRY-SPECIFIC REGULATIONS.

UNLESS OTHERWISE STATED IN A WRITTEN AGREEMENT, NEITHER THE DISTRIBUTOR NOR THE SOFTWARE PROVIDER IS OBLIGATED TO PROVIDE MAINTENANCE, TECHNICAL SUPPORT, UPDATES, BUG FIXES, OR ENHANCEMENTS.

THE SOFTWARE IS NOT DESIGNED FOR USE IN HAZARDOUS ENVIRONMENTS REQUIRING FAIL-SAFE PERFORMANCE, INCLUDING MEDICAL EQUIPMENT OR EMERGENCY SERVICES. YOU ASSUME ALL LIABILITY FOR USE IN SUCH SETTINGS AND ARE RESPONSIBLE FOR OBTAINING ANY NECESSARY REGULATORY APPROVALS.

Compliance with Laws

9.1 · Governing Law & Jurisdiction

This EULA is governed by the laws of the State of Michigan, without regard to conflict-of-law principles, consistent with the governing law provisions of the National Intel Terms of Service. Any disputes are subject to the exclusive jurisdiction of courts or arbitral forums in Oakland County, Michigan, as set forth in Section 11. By using the Software, you expressly consent to personal jurisdiction and venue in such forums.

9.2 · Export Compliance

The Software may be subject to U.S. export controls and economic sanctions. You agree to comply with all applicable export control laws. You represent that you are not located in, under the control of, or a national or resident of any country to which export of the Software is prohibited. It is your responsibility to ensure your use, transfer, or re-export of the Software does not violate any sanctions or embargoes.

9.3 · Healthcare, Academic & Specialized Fields

If operating in a regulated environment (healthcare, life sciences, mortuary, academic), you are solely responsible for determining whether the Software meets applicable compliance requirements — including HIPAA, GDPR, FDA, or other relevant regimes. The Software is not licensed, certified, or intended for diagnostic or clinical use. Neither the Distributor nor the Software Provider guarantees the Software’s suitability for any specific regulatory framework.

Amendments & Termination

10.1 · Right to Modify

The Provider and Software Provider reserve the right to revise this EULA at their sole discretion. You will be notified via an in-software prompt, a notice on pathcam.com, or written communication. Continued use of the Software following notification of material changes constitutes your acceptance of the revised EULA.

10.2 · Grounds for Termination

This EULA may be terminated by The Provider or Software Provider if: (a) you violate any terms and fail to cure within a reasonable notice period; (b) any law or court order makes distribution or use unlawful; or (c) the Software is discontinued. You may terminate at any time by permanently discontinuing use, uninstalling from all devices, and destroying all associated materials. Termination does not relieve you of obligations incurred prior to the effective date.

10.3 · Effect of Termination

Upon termination, all licenses and rights immediately expire. No refunds or credits are owed unless explicitly stated in a separate written agreement. All provisions that by nature should survive — including warranty disclaimers, indemnification, limitations of liability, and IP ownership — remain in full force and effect.

Dispute Resolution

11.1 · Informal Negotiation

Before initiating any formal proceeding, the parties shall attempt to resolve disputes through good faith informal negotiations. A written notice describing the nature of the dispute and desired resolution must be delivered to the other party. If unresolved within 30 days of receipt, the matter may proceed to arbitration.

11.2 · Arbitration

Except where prohibited by law, any unresolved dispute shall be submitted to final, binding arbitration before a single arbitrator under the rules of a reputable arbitration institution chosen by the Distributor, consistent with the arbitration provisions in the National Intel Terms of Service. Arbitration shall take place in Oakland County, Michigan. The Distributor or Developer may seek injunctive relief in a court of competent jurisdiction regarding IP rights, unauthorized access, or misuse.

11.3 · Class Action Waiver

All disputes shall be pursued on an individual basis. No party may seek to litigate or arbitrate in a class, consolidated, or representative action. If this waiver is found unenforceable, any dispute shall proceed in a court of competent jurisdiction on an individual basis only.

11.4 · Cost Allocation

To the fullest extent permitted by law, the Distributor agrees to defend, indemnify, and hold harmless the Developer from costs, fees, expenses, damages, or liabilities arising out of any dispute involving the Software, except where the Developer has committed willful misconduct or fraud. Under no circumstances shall the Developer be required to pay arbitration or litigation costs unless a final, non-appealable judgment finds the Developer solely at fault.

Consent & Acknowledgment

By installing, downloading, accessing, or otherwise using PathCam software, you expressly acknowledge that you have read, understood, and agreed to be bound by: (1) this EULA; (2) the PathCam Terms of Service; and (3) the National Intel LLC Terms of Service.

Your act of installing or using the Software, or clicking any acceptance button during download or installation, constitutes a valid and binding electronic signature under the U.S. E-SIGN Act (15 U.S.C. § 7001 et seq.) and the Uniform Electronic Transactions Act, with the same legal effect as a handwritten signature.

You affirm that you have had a reasonable opportunity to review this EULA and all incorporated agreements, and that you have not relied upon any statements, representations, or warranties not specifically set forth within these documents.

In the event of amendments pursuant to Section 10, your continued use of the Software after notification constitutes your binding acceptance of all revised terms.

13

Installation & Activation

13.1 · System Requirements & Responsibilities

You are responsible for reviewing hardware and OS requirements published on the official PathCam website before installing. You accept full responsibility for acquiring, configuring, and maintaining devices needed to run the Software. Any data loss, corruption, or performance degradation from improper setup or system incompatibility is solely your liability.

13.2 · License Keys & Activation

To activate the Software, you may be required to obtain a License Key. You agree not to disclose or share this key with any third party — such disclosure constitutes a material breach of this EULA. By entering a License Key, you reaffirm your acceptance of this EULA. The Software may periodically verify the authenticity of the License Key; failure to comply with these checks may result in immediate suspension or revocation of your license.

13.3 · Automated Updates

By installing or using the Software, you consent to the automatic download and installation of updates and patches. Updates may introduce changes that affect performance or compatibility. The Distributor and Software Provider shall not be liable for downtime, data loss, or other issues caused by the application of updates. If you choose not to install updates, you do so at your own risk and the Software may cease to function properly.

13.4 · Reinstallation & Transfer

If permitted, you may uninstall the Software from one authorized device and reinstall it on another device owned by you, provided all copies are removed from the previous device. Any reinstallation may require a new or reissued License Key. Third-party transfers are subject to the conditions outlined in Section 2.4.

13.5 · Acknowledgment of Installation Risks

You recognize that installation carries inherent risks, including possible data corruption or configuration conflicts. You are responsible for backing up systems and data prior to any installation or update. The Distributor and Software Provider make no warranties that the Software will install successfully on every system. You expressly release the Distributor and Software Provider from any liability arising out of installation, activation, updates, or system incompatibility.
